                                         MINUTES OF THE SPECIAL MEETING
 
                                                  MONDAY, JANUARY 27, 2014
 
                                                                      8:00 A.M.
           
           
The Board of County Commissioners of Madison County, Florida met this day in a Special Meeting with the following members present: Justin Hamrick (District 1), Wayne Vickers (District 2), Ronnie Moore (District 3), Clyde Alexander (District 4), and Rick Davis (District 5). Also present were County Attorney George T. Reeves, Assistant County Coordinator Sherilyn Pickels, and County Clerk Tim Sanders.
 
The meeting was called to order by the Chairman, Honorable Justin Hamrick, who explained the purpose of the Special Meeting was to consider entering into a contract for the sale of certain real property presently owned by Madison County, more particularly described as: The southern approximately one (1/2) half of that certain real property and all improvements located thereon by the County at 487 SW Pinckney Street, Madison, Florida 32340, containing approximately 0.33 acres and assigned parcel number 00-00-00-3807-000-000 by the Madison County Property Appraiser.  The parcel contains the building commonly referred to as the “Old Senior Citizens Building.”
 
The Clerk reported the Notice of the Special Meeting was posted on all four Courthouse entrances, as well as the Courthouse Annex on January 16, 2014.
 
The County Attorney referred to the proposed CONTRACT FOR SALE between Madison County, Florida and Family First Wellness Clinic, LLC, which was drafted according to the Board’s instructions at a prior Board Meeting.  He referred to page 3 of 10 of said contract regarding an addition to language in item 9. CONVEYANCE, notably the sentence: “Provided that the COUNTY agrees to subordinate the reverter clause to any mortgage the BUYER may wish to place on the PROPERTY from a federally or state chartered bank or other recognized third party commercial lender, which is given to secure loan proceeds to be used to purchase, renovate, expand, upgrade and/or maintain the PROPERTY or the equipment to be used thereon, up to an amount of and with a future advance clause not in excess of $200,000.00.”
 
Mr. Reeves also explained to the Board the adopted Madison County Ordinance No. 2008-177 which provides the Board an alternative method for selling and conveying real property.
 
The Chairman opened the meeting for comments from the public as advertised.  Town of Lee Mayor Eddie Bell spoke in favor of the proposed sale of the building and grounds, which would expand health services to the public.  Mrs. Gina Sapp, Manager/Member of Family First Wellness Clinic, LLC stated that the County would be proud of the planned improvements to the building and the health care that will come along with it.
 
Hearing no other comments, Chairman Hamrick returned the matter back to the Board.  A motion was made by Commissioner Davis and seconded by Commissioner Vickers to approve said CONTRACT FOR SALE.  Motion carried unanimously (5-0).
 
Mr. Reeves advised he would add the legal description provided by the Land Surveyor to the finished Contract before signing.
 
There being no further business, the Chairman adjourned the meeting at 8:10 A.M.
